When might directors seek to restore a business?

Typically, companies will apply to be restored when:

A company or LLP has been struck off after failing to comply with a major statutory requirement such as filing requirements but continues trading or is required to do so to protect branding, intellectual property rights or business information.

Alternatively, your company may not have been struck off due to a statutory failure but rather you voluntarily applied for the strike off as a means to wind your company down and move onto pastures new.

An application for restoration can be made if it transpires that a third party has an unresolved claim against a company or LLP and wishes it to be restored to take action to obtain redress or compensation. Or the business has title or obligations concerning assets or property, and they or another interested party wants to restore the business to enforce its obligations

Or a third party, such as a merchant bank, owes you money and they have sent your funds to the Treasury Solicitor or Bona Vacantia government department. You will not be able to claim these monies back on behalf of your company until your company has been restored to the Register of Companies at Companies House.

We will prepare all Court forms including the claim form, attend and represent you at any hearings, complete all Companies House requirements and deal with the Treasury solicitor and any creditors for reimbursement of monies to you or payment to any secured creditors.
